Acceptance of These Terms

These Terms & Conditions govern your access to and use of the InveLedger website, applications, software, platform features, content and related services collectively referred to as the “Services.”

By accessing, using, registering for or submitting a request to use the Services, you acknowledge that you have read and understood these Terms and agree to be bound by them to the extent permitted by applicable law.

If you do not agree with these Terms, you should not access or use the Services.

The InveLedger Platform

InveLedger is being developed as a global investment intelligence ecosystem intended to help professional users organise, understand analyse and monitor information relevant to investment decision-making.

Depending on the product, subscription or access level available to you, the Services may include features such as:

• Portfolio intelligence and monitoring.
• Investment and company information.
• Data visualisation and analytics.
• Investment history and track-record analysis.
• Market and opportunity intelligence.
• Investor and portfolio insights.

• Other technologies introduced as the InveLedger ecosystem evolves.

Features may vary by subscription, geography, user type, availability, technical development and other factors.

Eligibility

InveLedger is primarily designed for professional users, including investors, venture capital professionals, investment organisations, businesses, family offices and other users participating in professional investment or business activities.

By using the Services, you represent that you have the legal capacity and authority necessary to enter into these Terms and use the Services.

If you access the Services on behalf of an organisation, you represent that you have appropriate authority to bind that organisation to these Terms.

Accounts & Access

Certain InveLedger features may require an account, approved access or a paid subscription.

You are responsible for providing information that is accurate and reasonably current when creating or maintaining an account.

You are also responsible for maintaining the confidentiality of your authentication credentials and for activities conducted through your account, except where unauthorised use results from matters outside your reasonable control.

You should notify InveLedger promptly if you believe your account has been compromised or accessed without authorisation.

Investment Information & Decision-Making

InveLedger may provide information, analytics, visualisations, historical records, market information, company information, portfolio insights, estimates, indicators or other investment-related content.

Such information is provided to support analysis and decision-making. It should not automatically be interpreted as personalised investment, financial, legal, accounting or tax advice.

Users remain responsible for independently evaluating information and making their own investment decisions.

Past performance, historical investment records, projections, estimates and analytical indicators do not necessarily indicate future performance.

Before making a significant investment decision, users should obtain appropriate independent professional advice where necessary.

Third-Party Information & Data

Certain information displayed through the InveLedger ecosystem may originate from third parties, public sources, licensed providers, partners, data vendors or other external sources.

Acceptable Use

• Circumvent security, authentication or access controls.
• Reverse engineer or attempt to derive source code from the Services where prohibited by law.
• Scrape, harvest or systematically extract platform information through unauthorised methods.
• Use the Services to develop a competing product where such use is prohibited by applicable agreement.
• Introduce malicious software, harmful code or disruptive processes.
• Use the Services for unlawful, fraudulent, deceptive or abusive activities.
• Misrepresent your identity, organisation or authority.

Intellectual Property

Unless otherwise stated, the InveLedger website, platform, software, interface designs, branding, logos, visual systems, text, graphics, documentation, workflows and other original materials are owned by or licensed to InveLedger.

These Terms do not transfer ownership of InveLedger intellectual property to you.

Subject to your compliance with these Terms and any applicable subscription agreement, InveLedger may grant you a limited, non-exclusive, non-transferable right to access and use the Services for authorised internal business purposes.

The InveLedger name, brand identity and related marks may not be used without appropriate permission.

Confidentiality

Certain information made available through InveLedger may be commercially sensitive or confidential.

Where information is expressly designated as confidential, or should reasonably be understood to be confidential given its nature and circumstances, users agree to handle such information appropriately and not disclose it improperly.

Separate confidentiality agreements may apply to specific customer relationships, data arrangements or enterprise engagements.

Service Availability

We are continuously developing the InveLedger ecosystem. Features, interfaces, data sources, functionality and availability may change over time.

We may temporarily restrict access to some or all Services for maintenance, upgrades, security, technical issues or other operational reasons.

We will seek to maintain reliable availability, but we do not guarantee that the Services will always be uninterrupted, error-free or available in every location.

Investment & Financial Disclaimer

InveLedger is an investment intelligence technology platform and is not, solely by virtue of providing the Services, a substitute for regulated financial advice.

Information displayed by InveLedger may assist users in researching, comparing, monitoring and analysing investment-related information.

Users are responsible for determining whether an investment is appropriate for their circumstances, objectives, risk tolerance, financial position and applicable legal or regulatory requirements.

Nothing on the website or platform should be understood as a guarantee of investment performance, an offer to buy or sell securities, or a promise of a particular financial outcome unless expressly stated in a separate legally binding agreement.

Limitation of Liability

Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited.

Suspension & Termination

InveLedger may suspend or restrict access to the Services where reasonably necessary to protect the platform, users, data, security or business, or where a user materially breaches applicable terms.

Users may stop using the Services at any time, subject to any separate subscription or commercial agreement that applies to their account.

Provisions which by their nature should survive termination may continue to apply, including intellectual property, confidentiality, disclaimers, limitations of liability and applicable dispute provisions.

Changes to These Terms

As InveLedger develops its technology and expands its services, these Terms may be updated from time to time.

The updated version will be published on this page with a revised effective or last-updated date.

Where required by applicable law or contractual arrangements, we may provide additional notice of material changes.

Governing Law & Jurisdiction

The governing law and dispute-resolution arrangements applicable to your use of InveLedger may depend on your location, the contracting InveLedger entity and the nature of your relationship with us.

Where a separate enterprise, subscription or commercial agreement exists between you and InveLedger, that agreement may contain specific governing-law and dispute-resolution provisions.

Nothing in these Terms prevents a party from exercising rights that cannot legally be excluded under the laws applicable to that party.
